The company SMARTGEN LTD. has an affiliation, within the meaning of the term in the Regulation of the Practice of Investment Advice, Investment Marketing and Investment Portfolio Management Law, 5755-1995 (the "Advisory Law"), to financial assets issued and/or managed and/or marketed and/or offered by the related entities and/or from which SMARTGEN LTD. is entitled to receive benefits.  In light of the above, and according to the provisions of the Advisory Law, the provision of investment advice by SMARTGEN LTD. regarding securities and financial assets is the provision of investment marketing services (and not investment advisory services). SMARTGEN may prefer services and/or financial assets issued by the corporations listed below, and may receive benefits in respect of:

- OurCrowd SPV - Draper Associates Fund VIII
